  1. .TX1 *** CONSIGNMENT AGREEMENT FOR LICENSING OF SOFTWARE ********
  2.               CONSIGNMENT AGREEMENT FOR LICENSING OF
  3. {>PRODUCT}
  4.  
  5. This agreement is made this date between {CONSIGNOR_NAME} of 
  6. {CONSIGNOR_ADDR}, hereinafter called the CONSIGNOR, on the one 
  7. hand and {CONSIGNEE_NAME} of {CONSIGNEE_ADDR}, hereinafter 
  8. called the CONSIGNEE, for the purpose of promoting the 
  9. licensing of the following products of CONSIGNOR.
  10.  
  11. {DETAIL_PRODUCT}
  12.  
  13. Whereas, the CONSIGNOR desires to arrange for the licensing of 
  14. persons to use the above products in {TERRITORY} and the CONSIGNEE 
  15. has agreed to undertake the marketing of such products in said 
  16. territory on commission;
  17.  
  18. It is therefore agreed by the parties, as follows:
  19.  
  20. 1.  Obligations of CONSIGNOR.  The CONSIGNOR shall 
  21. furnish to CONSIGNEE sufficient copies of the software products 
  22. to be marketed by CONSIGNEE to permit the demonstration of such 
  23. products to potential licensees thereof.  CONSIGNOR agrees to 
  24. provide support for the products marketed by CONSIGNEE and to 
  25. make available to CONSIGNEE subsequent revisions and upgrades 
  26. thereof.

  28. Upon the granting of licenses for the use of such products 
  29. CONSIGNOR agrees to provide to CONSIGNEE adequate support for 
  30. the installation and use of such products.  CONSIGNOR shall fix 
  31. the fees to be charged for licenses to use the products marketed 
  32. by CONSIGNEE and agrees to pay to CONSIGNEE a commission of 
  33. {COMMISSION} of the gross licensing fees derived from CONSIGNEE's 
  34. marketing efforts.
  35.  
  36. 2.  Obligations of CONSIGNEE.  The CONSIGNEE shall 
  37. devote his best efforts to the marketing and licensing of the 
  38. products of CONSIGNOR in the aforesaid territory and advise 
  39. CONSIGNOR immediately of the licensing of such product for use 
  40. by his customers or prospects.  For that purpose, CONSIGNEE 
  41. shall have the authority to execute licensing agreements for 
  42. the use of the above described products and to enter into 
  43. agreements for their installation and use.
  44.  
  45. 3.  Terms of Licenses.  All licenses granted for the use 
  46. of CONSIGNOR's products shall be made upon such terms as have been 
  47. agreed upon by the CONSIGNOR and CONSIGNEE.  Credit sales, if 
  48. agreed upon by the parties, shall be made only by written contract 
  49. executed by an authorized official or agent of the licensee.
  50.  
  51. 4.  Remittances by CONSIGNEE.  As soon as practicable 
  52. after the execution of a license for the use of CONSIGNOR's 
  53. product or products, CONSIGNEE shall furnish a copy of the 
  54. license agreement to CONSIGNOR and remit therewith the license 
  55. fees collected, less his commission on such sale.
  56.  
  57. 5.  Title.  The ownership of the products marketed by 
  58. CONSIGNEE shall at all times remain in CONSIGNOR.
  59.  
  60. 6.  Operation of CONSIGNEE's Business.  The CONSIGNEE 
  61. shall at all times have the entire charge of the management and 
  62. operation of his business; he shall pay all fees, furnish all 
  63. necessary equipment and shall furnish all employees and agents 
  64. and pay all expenses of conducting such business except as may 
  65. otherwise be agreed by the parties.  CONSIGNOR reserves no 
  66. supervision or control over the CONSIGNEE in the facilities, 
  67. employees and methods to be used and employed by him in carrying 
  68. out the purposes of this contract, and shall in no event be 
  69. responsible for negligence of the Consignee or his employees.
  70.  
  71. 7.  Assignability.  This contract is not assignable.
  72.  
  73. 8.  Termination.  This contract may be terminated by 
  74. either party on {TERMINATE_NOTICE} written notice to the other 
  75. party.  Upon such termination all copies of the product in the 
  76. possession of CONSIGNEE shall be erased from the disks and 
  77. other equipment of CONSIGNEE or returned to the CONSIGNOR.  Each 
  78. party shall settle with the other, in full, all amounts which 
  79. are due and owing to the other party.

  92.                     CONSIGNMENT AGREEMENT FOR

  95. This Agreement is made this date between {CONSIGNOR_NAME} of 
  96. {CONSIGNOR_ADDR}, hereinafter called "Owner", and {CONSIGNEE_NAME} 
  97. of {CONSIGNEE_ADDR}, hereinafter called "Dealer".  In consideration 
  98. of the mutual obligations and undertakings hereinafter set forth, 
  99. Owner and Dealer hereby covenant and agree, as follows:
  100.  
  101. 1.  Owner to Supply Goods.  Owner agrees to furnish to 
  102. Dealer a merchantable supply of the goods described below to be 
  103. displayed and sold by Dealer to customers and to furnish such 
  104. advertising, display materials, catalogues, price lists and other 
  105. selling materials as Owner shall deem suitable for the location 
  106. of Dealer and the volume of business which Owner shall deem 
  107. practical.
  108.  
  109.                   DESCRIPTION OF GOODS CONSIGNED
  110.

  113. 2.  Dealer to Display and Take Orders.  Dealer agrees 
  114. to keep the consigned goods appropriately displayed for sale in 
  115. Owner's establishment and to sell to Dealer's customers the goods 
  116. selected by them.  In addition, Dealer agrees to forward to 
  117. Owner with commercial promptness all orders from catalogues which 
  118. customers of Dealer may submit.  Owner will furnish a sufficient 
  119. supply of order forms and other materials to enable Dealer to 
  120. handle and service catalogue orders.
  121.  
  122. 3.  Dealer Remittances.  Dealer will remit to Owner 
  123. on Monday of each week (or on the next business day if Dealer's 
  124. business is not open for business on Monday) the amount of all 
  125. monies received by Dealer during the previous week from the sale 
  126. of the consigned goods.  All remittances shall be accompanied 
  127. by reports of sales and returns to be made by Dealer on forms 
  128. supplied by Owner.
  129.  
  130. 4.  Prices.  All sales will be made by Dealer at the 
  131. prices printed on the packages or in the price lists by Owner.  
  132. No discounts or rebates will be allowed by Dealer without the 
  133. express permission of Owner.  All sales will be made for cash 
  134. provided that Dealer may sell consigned goods on credit granted 
  135. by Dealer if Dealer remits from Dealer's own funds payment for 
  136. such sales as though they were made for cash.
  137.  
  138. 5.  Stocking of Goods.  Dealer will permit Owner's 
  139. route salesmen and other authorized agents to stock the Dealer's 
  140. displays of consigned goods and to make such examinations of 
  141. Dealer's books and records as Owner shall deem appropriate to 
  142. assure a proper accounting for all consigned goods sold by 
  143. Dealer.
  144.  
  145. 6.  Financing Statements.  Dealer will execute such 
  146. financing statements and other assurances as deemed appropriate 
  147. by Owner to protect its ownership of the consigned goods and 
  148. other materials of Owner against claims of creditors of Dealer 
  149. and other third persons.
  150.  
  151. 7.  Termination.  This agreement may be terminated 
  152. by either party upon {TERMINATE_NOTICE} days written notice to 
  153. the other party.  All notices to Owner and Dealer shall be sent 
  154. to the address of the respective parties shown above unless a 
  155. written notice of a change therein has been given by a party to 
  156. the other party.  On any termination or cancellation of this 
  157. agreement, Owner shall be entitled to remove its display cases 
  158. and unsold stock of consigned goods from the Dealer's premises 
  159. and shall be afforded a reasonable time to take possession 
  160. thereof.
  161.  
  162. 8.  Goods not Accounted for by Dealer.  All consigned 
  163. goods delivered to Dealer and not accounted for as sold by 
  164. Dealer or returned to Owner shall be conclusively presumed to 
  165. have been sold by Dealer and Dealer shall be accountable for 
  166. all such goods.
  167.  
  168. 9.  Selling Commission.  On all consigned goods sold 
  169. by Dealer, Dealer shall be entitled to deduct {COMMISSION} of 
  170. the sales price as Dealer's selling commission.
  171.  
  172. 10.  Goods Rendered Unmerchantable by Casualty.  All 
  173. consigned goods delivered to Dealer which are damaged or otherwise 
  174. rendered unmerchantable by fire, vandalism, flood or other 
  175. casualty shall be returned in their damaged condition to Owner 
  176. and, in the event of any total loss by fire or other casualty, 
  177. Dealer shall promptly report such fact to Owner and Dealer shall 
  178. account to Owner for the volume of goods sold since the date of 
  179. Dealer's last accounting as though Dealer had sold the same 
  180. amount of goods since the date of such last accounting as was 
  181. sold during the comparable business days of the previous 
  182. accounting period.

  184. IN WITNESS WHEREOF, the parties have executed this agreement 
  185. on {!DOCU_DATE}.
